Terms of Service
These Terms of Service (the “Terms”) form a binding agreement between you and unoblox and govern your access to and use of the unoblox AI gateway, marketplace, control-plane consoles, APIs, websites, and related services (together, the “Service”). Please read them carefully — they include a disclaimer regarding AI-generated output, a limitation of unoblox’s liability, and an agreement to resolve disputes in India.
Read this first — AI output disclaimer
unoblox is a gateway and reseller that routes your requests to third-party AI models. Model output is generated by those upstream providers, is provided “as is” without any warranty of accuracy, reliability, or fitness, may be wrong or offensive, and is not professional advice. You are responsible for reviewing output before you rely on or act upon it. See section 6.
1.Agreement to these Terms
By creating an account, generating an API key, clicking “I agree”, or otherwise accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, Acceptable Use Policy, Refund & Cancellation Policy, and any order form, plan, or usage documentation referenced in them, which are incorporated by reference. If you do not agree, do not use the Service.
If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and “you” refers to that organisation. Enterprise customers may sign a separate master agreement or order form; where it conflicts with these Terms, the signed agreement controls.
2.Definitions
- unoblox, “we”, “us” — the operating entity, Ogma Consulting Pvt Ltd, a Private Limited Company registered in Delhi, India.
- Gateway — the OpenAI-compatible API endpoints (including /v1/chat/completions, /v1/responses, and /v1/messages) served at api.unoblox.ai, which route requests to Providers.
- Provider — a third-party supplier of AI models or inference endpoints that the Service routes to, whether a first-party model lab or a marketplace participant.
- Model — an AI model made available through the catalogue and served by one or more Providers.
- Input — prompts, files, parameters, and other content you or your users submit to the Service. Output — the completion or response returned by a Model for your Input.
- Customer Content — Input and Output together, and other data you submit to or generate through the Service.
- Credits — the prepaid balance, denominated in Indian Rupees (INR), from which usage Fees are debited.
- Workspace / Organisation — the account structures under which keys, budgets, members, and usage are grouped.
3.The Service
unoblox is an India-first AI-inference gateway and two-sided marketplace. Through a single OpenAI-compatible API you can send requests that the Service routes to a range of Models supplied by Providers, with features that may include automatic, price/latency (“pareto”), or free-tier routing; guardrails such as model/provider allow-and-block lists, content moderation, and a zero-data-retention option; budgets, per-key spend limits, and a shared organisation credit pool; bring-your-own-key routing; and a provider marketplace.
Merchant of record; conduit and reseller
For inference you purchase through the Service, unoblox acts as merchant of record: we sell the resold inference to you, bill you in INR, issue the GST invoice, and settle with Providers. In doing so unoblox is a conduit and reseller — it transmits your Input to the Provider you (or the router) select and returns the Output. unoblox does not create, train, own, endorse, or control the Models and is not the author of any Output. Your use of a given Model may also be subject to that Provider’s own terms and usage policies, which you agree to comply with.
4.Eligibility & accounts
- You must be at least 18 years old and capable of forming a binding contract under the Indian Contract Act, 1872 to use the Service.
- You agree to provide accurate account and billing information (including a valid GSTIN where you claim input-tax credit) and to keep it current.
- You are responsible for all activity under your account, Workspaces, and API keys, and for your users’ compliance with these Terms.
- You must promptly notify us of any unauthorised use of your account or any breach of security.
- Two-factor authentication is optional. It is available for customer accounts and we recommend it, but we do not require it to use the Service, save billing details, add Credits or manage keys.
- Service emails. Account, security and payment emails (for example sign-in alerts, key and two-factor changes, top-up receipts and failures, refunds and outstanding-balance notices) are mandatory and are always sent to the account address. Team and billing-settings notifications can be switched off in your notification preferences; other optional emails, such as usage alerts and cost digests, carry an unsubscribe link. Status-page email subscriptions are opt-in: you confirm your address first, and every email has a one-click unsubscribe.
5.API keys & credentials
API keys authenticate requests to the Gateway and must be kept confidential. Treat keys like passwords: do not embed them in client-side code, public repositories, or shared devices. You are responsible for usage and Fees incurred under your keys, whether or not authorised by you, until you rotate or revoke the key. We may cryptographically hash, rotate, or revoke keys, and enforce per-key spend limits, to protect the Service.
6.Third-party models & AI output
AI output is provided “as is” and is not professional advice
Output is generated by third-party Models using probabilistic techniques. It may be inaccurate, incomplete, outdated, biased, offensive, or otherwise unsuitable, and identical Input can produce different Output. unoblox does not verify Output and makes no representation that it is correct or fit for any purpose.
- No warranty of Output. To the maximum extent permitted by law, Output is provided “as is” and “as available”, without warranty of accuracy, reliability, non-infringement, or fitness for a particular purpose.
- Not professional advice. Output does not constitute legal, medical, financial, tax, or other professional advice. Do not rely on Output for decisions that require a qualified professional. You must independently review and verify Output before use.
- Your responsibility for downstream use. You are solely responsible for your Input, for how you use Output, and for any product, decision, or communication you build on it — including obtaining any human review, disclosures, or consents that your use requires by law.
- unoblox is a conduit. unoblox is not the author of Output and is not responsible for the acts, omissions, models, or policies of Providers. Where a Provider restricts certain uses, those restrictions apply to you as well.
- No high-risk reliance. Unless expressly agreed in writing, the Service is not designed or authorised for use where failure or error could lead to death, personal injury, or severe physical, environmental, or financial harm (for example, medical diagnosis, emergency response, or critical infrastructure control). You assume all risk of such use.
7.Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, all applicable laws (including the Information Technology Act, 2000 and rules made under it), and the usage policies of the Providers whose Models you invoke. Without limiting that policy, you must not use the Service to break the law, infringe others’ rights, generate prohibited content, circumvent security or rate limits, or reverse-engineer the Service.
8.Customer content & data
As between you and unoblox, you retain all rights in your Customer Content. You grant unoblox a limited, worldwide, royalty-free licence to host, process, transmit, and display Customer Content solely to operate and secure the Service, to route it to the Provider you select, and as otherwise permitted by our Privacy Policy and any applicable Data Processing Addendum.
You represent that you have all rights and permissions necessary for your Input to be processed by the Service and the relevant Provider, and that your Input and its processing do not violate law or third-party rights. Usage records retained by unoblox for billing and audit are, by default, metadata (such as token counts and cost) rather than the content of prompts or completions; where you enable the zero-data-retention option for a request or route, prompt and completion content is not retained by unoblox beyond what is required to serve that request, subject to any Provider’s own retention.
Some features store content because you ask them to. If you opt in to response caching, the completion for an identical deterministic request is kept for 24 hours so it can be replayed at no charge. Files you upload, and batch inputs and results, are kept for the retention period configured for them (for batches, the 1–30 days you choose). The unoblox platform and its databases are hosted in India with our data-centre provider, Yotta; a Provider that serves your request may process it elsewhere, as described in the Privacy Policy.
Public rankings and aggregate statistics
(a) Aggregate statistics. unoblox may compile and publish aggregated statistics about use of the platform, such as usage volume, latency and availability by model and by provider. Published aggregates do not identify you, your users, your workspaces or your API keys, and are subject to minimum-contributor thresholds so that no figure can reasonably be attributed to a single customer.
(b) Application rankings. If your application identifies itself to unoblox by sending the optional x-title or HTTP-Referer request headers, you authorise unoblox to display the application name and URL you supplied, together with that application’s aggregate usage by model, in public rankings and related marketing. You grant unoblox a non-exclusive, worldwide, royalty-free licence to display that name and URL for this purpose, and you confirm you have the right to supply them.
(c) What is never published. unoblox does not publish prompts, inputs, outputs, files, billing information, or usage attributable to an individual user, workspace or API key.
(d) Opting out. To stay out of application rankings, do not send these headers. You may also ask us to remove a listing by writing to the support address in these Terms; we will remove it within 7 business days.
(e) No endorsement. A listing does not imply any partnership, endorsement or affiliation. unoblox may decline, rename for clarity, or remove any listing at its discretion, including where a name is misleading, infringing or abusive.
9.Intellectual property
- Your content. You own your Input. As between you and unoblox, and subject to the rights of Providers and third parties, unoblox does not claim ownership of your Input or Output.
- Output. Rights in Output, and your ability to use it, are subject to the terms of the Provider and Model that generated it. Because Models are probabilistic and shared, Output may not be unique to you and similar Output may be generated for others; unoblox does not warrant that Output is original or non-infringing.
- Our platform. unoblox and its licensors own all rights in the Service, including the Gateway, routing, consoles, software, documentation, and unoblox marks. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, resell (except as expressly permitted), or create derivative works of the Service, or use our marks without permission.
- Feedback. If you give us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use it without restriction.
10.Fees, credits, billing & taxes
- Prepaid, usage-based. The Service is primarily prepaid: you add Credits in INR and Fees are debited as you consume inference, metered per token (or other unit). A request is charged at the price in effect when it starts; the price cannot change while the request runs. Price = Provider cost + platform fee. The price shown for each Model (in ₹ per million tokens, on the Model page, in the catalogue API and in the playground) is the Provider’s cost plus our platform fee, currently 5%. We set the fee and may change it; the fee is already included in the price you see, and nothing further is added to the token charge. You are charged exactly the displayed price for the tokens used, subject only to the rounding in item 2. Displayed prices exclude GST (item 5). Where a Model is on promotion, its page shows the list price and the lower promotional price, and you are charged the promotional price for requests that start while the promotion runs; we may start, change or end a promotion at any time. Some Models charge a higher price for long prompts: when the prompt tokens reported for a request reach the threshold shown on the Model page, the higher tier prices the whole request (input, cached input and output), and every tier is shown on that page.
- Rounding: exact cost + 5%, debited in whole paise as it accumulates. Each request is charged exactly the Provider’s cost for what it used (input, cached-input and output tokens, search units or searches, from the exact counts) plus our platform fee (currently 5%). Money moves in whole paise (₹0.01), so your wallet is debited in whole paise as that exact amount accumulates: the fraction of a paisa not yet debited, or already debited in advance, is kept on your wallet and carried to your next request, across all Models and request types. Your total debits therefore always equal your exact total (cost plus fee) rounded up to the next whole paisa, and are never a whole paisa more. A single request can be debited up to one paisa more or less than its own exact amount, and a very small request may be debited ₹0.00 while its exact cost is carried. The per-million price shown is the exact rate rounded up to the next whole paisa, so you never pay more than it shows. Free Models are not charged.
- Your max_tokens, reserved funds & outstanding amounts (effective October 1, 2026). unoblox forwards the max_tokens you send unchanged (or omits it if you sent none) and never limits the length of a response; any limit comes from the Model or the Provider. Before a request runs we reserve (hold) funds from your balance for your prompt plus a reply allowance, which is your max_tokens if you sent one, otherwise the Model’s output limit, limited to what your balance can cover. The allowance is a reservation, not a cap. A request is declined before it runs, and nothing is charged, only if your available balance cannot cover the prompt. When it finishes you are charged for actual usage and any unused part of the hold is released. If a response costs more than your balance, you are still charged in full: the difference is an outstanding amount that you owe, shown as “₹X outstanding” and a negative balance. It is recovered first from your next top-up, and new requests are paused until it is cleared.
- Top-ups & auto-top-up. Credits are purchased in INR through our payments partner, Razorpay. We absorb payment-processing fees: your wallet is credited the full amount before GST (item 5). Where auto-top-up is made available to you, you may enable it to authorise us to charge your selected payment method to replenish Credits when your balance falls below a threshold you set; you can disable it at any time.
- Taxes & GST. Prices and Fees are exclusive of taxes. Goods and Services Tax (GST), currently 18%, is charged on top of the amount you add when you top up: for example you pay ₹118, your wallet is credited ₹100, and the tax invoice shows ₹100 plus ₹18 GST. The GST is split into CGST and SGST or charged as IGST according to the place of supply, determined under Indian law from the billing state and details (including GSTIN) you provide. We issue one GST-compliant tax invoice for each top-up, at the time the credit is added. We do not issue a separate invoice for individual requests, and debits from your wallet for usage carry no further GST. Promotional credits and service credits are not supplies and carry no invoice of their own. You are responsible for any taxes arising from your use other than taxes on unoblox’s income.
- Card data. Card, UPI, and bank details are collected and processed by Razorpay under its own terms; unoblox does not receive or store full card numbers. PCI-DSS compliance for payment instruments is the responsibility of Razorpay as the payment processor.
- Refunds. Credits and Fees are handled under our Refund & Cancellation Policy. Except as required by law or expressly stated there, consumed usage is non-refundable. Where we charged you because of our own error, we return the charge as a service credit to your wallet, as described there.
- Disputes & adjustments. We may correct billing errors and reconcile Provider charges. If you believe an amount is incorrect, raise it with us within 30 days of the charge, failing which it is deemed accepted.
- Referral credits. A referral credit, where offered, is a promotional account credit rather than cash, has no cash value, and is subject to the referral policy shown when the programme is available. That policy may choose a new-user or both-party recipient mode and a first captured paid top-up or settled-usage threshold qualification mode. A referred account can receive only one lifetime referral reward. Where the new user is rewarded, that reward is instead of the first top-up match described below: a referred account receives one or the other, never both. Each referrer can earn referral rewards for a limited number of referred accounts in total (the limit is shown on the referral page), and a reward that is taken back after a refund frees one place. We may withhold a credit for abuse or fraud. A partial refund that leaves the qualifying threshold satisfied does not by itself cancel a reward. If a linked refund or chargeback means the qualifying threshold is no longer met, pending rewards are invalidated and granted rewards for both recipients are subject to reversal or administrative review. Any recovery is limited to promotional credit that can be safely identified and recovered, under the protections below. If we cannot distinguish a promotional credit from other wallet funds, we may place a proposed recovery under administrative review; we will not otherwise withhold a valid reward, deduct unrelated paid funds, or create a negative wallet balance. Administrative review gives no assurance of a reward and creates no automatic payout right. A usage correction or credit note is reviewed as evidence; it is not an automatic numeric deduction from usage or a referral credit.
- First top-up match (promotional terms, effective September 30, 2026). unoblox may match your first cash top-up in INR: we add promotional Credits equal to a percentage of the Credits that top-up adds to your wallet (before GST), up to the maximum shown on the top-up page while the offer is running. New accounts do not receive a free sign-up credit. An account that receives a referral reward instead of this match does not also receive the match, and the other way round. The match applies to one top-up per customer and per payer, however many accounts or email addresses are used: we may decline it where the same payment instrument, phone number, or email identity has already received a match, or where your account received a sign-up bonus. The match has no cash value, is not withdrawable and is not refundable as cash. It is used like any other Credits at the published rates and carries no GST invoice of its own. If the qualifying top-up is refunded, in whole or in part, the matching share of the match is reversed from your wallet (only up to the balance available, and never below zero). We may change, suspend, or withdraw this offer at any time, and may withhold or reverse a match for abuse or fraud.
- Free-tier Models. Models tagged Freemium are provided without charge while your workspace balance is at or above the minimum shown on your billing page (₹1,000 by default); below it they bill at their published price. A fair-use limit, currently 10 requests per minute per workspace, applies to Freemium Models at any balance, except for keys with paid access enabled and for BYOK. There is no monthly free allowance. See Freemium access.
- Failed, cancelled and repeated requests. A request that is declined before it is sent to a Provider, or that fails without producing recorded usage, is not charged, and a response interrupted part-way by a Provider fault is not charged. We do not treat an empty answer as free by itself: if usage was processed it is charged at the normal price. If you cancel a request (for example by closing a stream) after processing has started, you are charged for the prompt processed and the output delivered up to that point; that charge is not refunded, because the cancellation was yours. An automatic retry or failover to another endpoint is charged once, for the delivered attempt only; a new request you send yourself, including a retry with a new Idempotency-Key, is a new request and is charged as such.
11.Bring your own key (BYOK)
The Service may let you route requests using your own upstream Provider credentials (“BYOK”). If you use BYOK, you are responsible for your agreement with, and charges from, that Provider, and for the security of the credentials you supply. unoblox stores such credentials encrypted at rest and uses them only to route your requests. For BYOK requests we charge only a platform fee, a percentage of the upstream cost published in the pricing documentation; your Provider bills you for the tokens. Your BYOK usage remains subject to these Terms and, where you elect, to your unoblox budgets and limits.
12.Marketplace & providers
The Service includes a two-sided marketplace connecting customers with Providers. unoblox does not control, and is not responsible for, the Models, endpoints, availability, pricing accuracy, or conduct of Providers, and does not guarantee that any particular Model or Provider will remain available. Where you participate as a Provider, additional provider terms apply. unoblox may add, suspend, re-route, deprecate, or remove Models and Providers, including for policy, legal, quality, or security reasons.
13.Availability, support & beta
We aim to keep the Service available but, except where an SLA expressly applies to your plan, the Service is provided without an availability commitment. Availability also depends on Providers and other third parties outside our control. Features labelled beta, preview, or experimental are provided “as is”, may change or be withdrawn, and are excluded from any SLA. We provide support through the channels and at the levels described for your plan.
14.Confidentiality
Each party may access the other’s non-public information (“Confidential Information”). The receiving party will use it only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel and contractors bound by confidentiality. This does not apply to information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party, or to disclosures required by law (with notice where lawful).
15.Disclaimer of warranties
Except as expressly stated in these Terms or an applicable SLA, the Service and all Output are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, unoblox disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade. unoblox does not warrant that the Service or Output will be uninterrupted, secure, error-free, accurate, or free of harmful components, or that it will meet your requirements.
16.Limitation of liability
- No indirect damages. To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business, arising out of or relating to the Service or these Terms, even if advised of the possibility.
- Liability cap. To the maximum extent permitted by law, unoblox’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total Fees actually paid by you to unoblox for the Service in the twelve (12) months immediately preceding the event giving rise to the liability.
- Output. Without limiting the above, unoblox has no liability for Output, for your reliance on it, or for the acts or omissions of Providers.
- Exceptions. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. The allocations of risk in these Terms reflect the pricing and are an essential basis of the bargain.
17.Indemnification
You will defend, indemnify, and hold harmless unoblox, its affiliates, and their officers, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your Input or Customer Content; (b) your use of the Service or Output, including any downstream product or decision; (c) your breach of these Terms or the Acceptable Use Policy; or (d) your violation of law or of a Provider’s terms. We will notify you of the claim, allow you to control the defence (subject to our approval of any settlement affecting us), and reasonably cooperate at your expense.
18.Suspension & termination
- By you. You may stop using the Service and close your account at any time. Closure does not entitle you to a refund except as provided in the Refund & Cancellation Policy.
- By us. We may suspend or terminate your access, in whole or in part, with or without notice, if you breach these Terms or the Acceptable Use Policy, fail to pay, create risk or legal exposure, or if required by law or by a Provider. Where practicable and lawful, we will give notice and an opportunity to cure.
- Effect. On termination, your right to use the Service ceases and outstanding Fees become due. Sections that by their nature should survive — including definitions, IP, disclaimers, limitation of liability, indemnification, confidentiality, governing law, and these general terms — survive termination. Handling of your data on termination is described in the Privacy Policy and any DPA.
19.Changes to the Service & Terms
We may modify the Service and these Terms from time to time. For material changes to these Terms, we will provide reasonable notice (for example, by posting an updated version with a new “Last updated” date and, where appropriate, by email or in-product notice). Changes take effect on the stated date, and your continued use of the Service after that date constitutes acceptance. If you do not agree to a change, stop using the Service before it takes effect.
20.Governing law & dispute resolution
- Governing law. These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of India, without regard to conflict-of-laws rules.
- Arbitration. The parties will first attempt to resolve any dispute amicably. Failing resolution within 30 days, the dispute will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by unoblox in accordance with that Act. The seat and venue of arbitration is New Delhi, Delhi, India, and the language is English. The award is final and binding.
- Courts. Subject to the arbitration clause, the courts at New Delhi, Delhi, India have exclusive jurisdiction, and either party may seek interim or injunctive relief from those courts.
21.Notices
Legal notices to unoblox must be sent via our contact form and, where required, to the registered office at LGF, 1800 Gyani Bazaar, South Ex-1, KM Pur, New Delhi, Delhi 110003, India. We may give you notice by email to your account address, by posting in the Service, or through the Service’s notification mechanisms. Notices are deemed received when sent (for email) or posted.
22.General
- Entire agreement. These Terms and the documents they incorporate are the entire agreement between the parties on this subject and supersede prior discussions, except for a signed enterprise agreement, which controls where it conflicts.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including Provider outages, internet or infrastructure failures, acts of government, or acts of God.
- Severability & waiver. If any provision is unenforceable, the rest remain in effect. A failure to enforce a provision is not a waiver.
- Analytics. The Service uses usage analytics and measurement (including Google Analytics and first-party measurement on our servers), on by default for every user, to improve the Service and measure our marketing. We never send your email address, API keys, prompts or model responses to Google Analytics or any other analytics service. You can opt out of browser analytics at any time through Cookie preferences in the footer; account facts we record on our own servers for billing and fraud prevention are not affected. See the Privacy Policy and Cookie Policy.
- Relationship. The parties are independent contractors; nothing creates a partnership, agency, or employment relationship.
- No third-party beneficiaries, except that unoblox’s affiliates and Providers may rely on the disclaimers and limitations that protect them.
23.Contact & grievances
For questions about these Terms, contact us via our contact form. In accordance with the Information Technology Act, 2000 and the rules made under it, our Grievance Officer is Pawan Sharma, reachable via our contact form, at the registered office, LGF, 1800 Gyani Bazaar, South Ex-1, KM Pur, New Delhi, Delhi 110003, India. Grievances are acknowledged and addressed within the timelines prescribed by applicable law.
Change log
7 October 2026
- Section 10.2 (Rounding): exact cost + 5%, debited in whole paise as it accumulates. Every request is billed its exact Provider cost plus the platform fee; the fraction of a paisa is carried on your wallet to the next request, so your total debits equal your exact total rounded up to the paisa (previously: the Provider-cost part was rounded up and the fee then rounded down, per request). The per-million price shown is the exact rate rounded up to the paisa.
2 October 2026
- Section 4: two-factor authentication is optional for customers; account, security and payment emails are mandatory, team and billing-settings notifications can be switched off, and status-page subscriptions are opt-in with one-click unsubscribe.
- Section 8: response-cache, file and batch storage, and India hosting.
- Section 10.1: price = Provider cost + platform fee (currently 5%), already included in the displayed price; promotions shown as list and promotional price; long-context tiers; price fixed when a request starts.
